PLEASE NOTE THAT THESE OFFICIAL SWEEPSTAKES RULES ARE TO BE READ IN CONJUNCTION WITH EVERYWORLD DEVELOPMENT LLC’S (“EVERYWORLD”) TERMS AND CONDITIONS (“TERMS AND CONDITIONS”). THE SWEEPSTAKES RULES INCORPORATE SECTION 20 OF THE TERMS AND CONDITIONS, WHICH INCLUDE A MANDATORY ARBITRATION PROVISION WHICH REQUIRES THAT ANY DISPUTES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL AND NOT A CLASS-WIDE OR CONSOLIDATED BASIS.  PLEASE SEE SECTION 20 OF THE TERMS AND CONDITIONS FOR MORE INFORMATION.

1. Overview

‍

Everyworld operates an online and mobile, browser-based, sweepstakes (the “Drawings”) where Drawing participants can win $EVERY Tokens as defined in these Official Game Rules.  $EVERY can be used to participate in official Drawings on a discord server operated by Everyworld that can be accessed at https://discord.gg/everyworld (the “Discord Server”) and, in the future, perhaps other apps, websites or servers.

In general terms, participation in a Drawing on the Discord Server is subject to these Official Game Rules (the "Official Game Rules"). The game play, game timing, available prizing, odds of winning and all other specifics of participation in a given promotional game will be governed by the Game Rules and these Official Game Rules.

Use of the Discord Server is subject to applicable laws and is void where prohibited by law.

2. Eligibility

‍

Residents of the United States are ineligible to participate in Everyworld. In addition, residents of the following countries are also ineligible: Afghanistan, Australia, Belgium, Belize, Bolivia, Canada (province of Quebec), Cambodia, Chad, China, Columbia, Cuba, Iran, Iraq, Lebanon, Libya, Myanmar, North Korea, Pakistan, Russia, Singapore, Somalia, Sudan, Syria, Tanzania, Thailand, Turkey and where otherwise prohibited by law. If you are a resident of one of these countries, do NOT enter a Drawing, as the Drawings are NOT intended for you.

You must be 18 years or older (20 years or older in Japan) to participate in Everyworld.

‍

Residents of these countries or individuals physically located in these countries are prohibited from collecting any payout (“Payout”). For the avoidance of doubt, use of the Services is void where prohibited by law. Only one Discord account per individual is permitted to play the game.

Employees, officers, directors of Everyworld, its parent company, or any of its affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies (collectively, the “Sponsor's Affiliates”) and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether related or not) are not eligible to enter the Drawings.

3. "Entries"

‍

To participate in a Drawing, a person must first join the Discord Server. Please see the Terms and Conditions for additional information about eligibility, and use of the Discord Server. Access to the sweepstakes is offered by using Entries. Everyworld uses three (3) types of Entries: (a) Points earned through the Discord Server; (b) $EVERY Tokens; and (c) Alternative Methods of Entry (“AMOE”).

1. Points:  Users can acquire or earn Points via the Discord Server. See section 4 below for additional information. Points have no cash value. Points cannot be directly exchanged for $EVERY TOKENS and cannot be exchanged for cash or digital gift cards.

2. $EVERY Tokens: Users can receive $EVERY Tokens as prizes in the Drawings. For example, if a user wins a Drawing, the prize paid and credited to the user’s Sweeps Points account would be credited as $EVERY Tokens and the user may be eligible to redeem such $EVERY Tokens for a cash prize. $EVERY Tokens may also be acquired on the secondary market through a cryptocurrency exchange. 

3. Alternative Method of Entry (“AMOE”): Entries can be acquired by mailing in a request by postal mail. No purchase necessary. For more information, please see Section 5 below.

Entries are to be used solely by the user who received the same for participation in the Drawings offered by Everyworld in full compliance with the Terms and Conditions. Without limiting the foregoing, Entries are not transferable and cannot be purchased, sold, traded, or exchanged between users.

At all times, Everyworld shall own all rights to all Points; and, as such, Everyworld grants to participants a limited, exclusive, revocable, non-transferable, and non-sublicensable license to all Entries. For the avoidance of doubt, no property right in any Entries is conferred by Everyworld to the user receiving said Points.

4. Acquiring Points

‍

Users of the Services are incentivized to engage with the content on Everyworld through the distribution of Points which can be earned through various methods including:

• Watching a video
• Engaging with the content via clicking, upvoting, or downvoting 
• Posting a review or comment

‍

Participants can enter their earned Points into a regularly-scheduled drawing through the Discord Server. 100 Points are required for each entry. A user is limited to a certain number of entries for each drawing period (“Maximum Entries''). Following each drawing, user points are reset to zero.

5. Acquiring Entries via the alternative method of entry

‍

Everyworld offers an Alternative Method of Entry (“AMOE”) option where you can request complimentary Entries so you can participate without making a purchase. Users that enter the Drawing by AMOE may participate in the Drawing on equal terms as those persons who have entered through other means; users do NOT enjoy any competitive advantage in game play. To request a “Redemption Code” via the United States Postal Service please follow the steps below:

Handwrite on a 3x5 inch card: your first & last name, e-mail address, phone number, complete mailing address and Discord user name, if any, and place the card inside of an envelope with appropriate postage and mail it to:

Upon receipt of your envelope containing the index card, Everyworld will credit you with 100 complimentary Entries in the next Drawing following receipt.

Important Restrictions:

‍

There is a redemption limit of one (1) AMOE submission per individual, per Drawing. All requests must be made by the named participant. The request must be postmarked from the same state as the participant’s current address. Requests made from a different address are void and will not be accepted, even if otherwise valid.

‍

Each handwritten 3x5 card must be mailed separately. Everyworld will NOT accept batched, bulked mailed or bundled submissions delivered in the same package.  Such bulk packages will not be considered valid and will be voided without notice. The envelope MUST include your complete mailing address in the return address section of the envelope located in the upper left corner. The envelope MUST include sufficient postage (a First-Class U.S. mail stamp). Envelopes without sufficient postage will not be delivered by the United States Post Office and may not be returned to you if you have not included a return address.

Copied or mechanically reproduced envelopes or 3x5 cards are void and will not result in provision of Entries even if otherwise valid. The use of stickers, ink stamps, laser printer, photocopiers or mechanically reproduced 3x5 inch cards or envelopes is strictly prohibited and will not result in the provision of Entries even if otherwise valid. The use of third-party services or any industrialized process to submit requests is also strictly prohibited and voids all such submissions and may constitute illegal tampering. Everyworld can, in its sole discretion, determine if a third-party service, team, workshop or any other industrialized process is being applied and declare all such AMOE submissions invalid.

Everyworld is under no obligation to notify you in the event your submission is not in compliance with any of the rules or restrictions noted above. All requests become the property of Everyworld and will not be returned, regardless of whether (or not) they are valid. Everyworld disclaims any liability for late, lost, misdirected, postage due, damaged, destroyed, stolen, incomplete, illegible/garbled or corrupted submissions or for technological, electronic or programming failure/malfunction/error regardless of cause. Everyworld disclaims any and all liability in conjunction with invalid submissions. Without limitation, postage will not be refunded.

Entries are to be used solely and only once by the individual who received the same directly from Everyworld.

6. Using entries to participate in Sweepstakes

‍

If you have sufficient Points for entry into a Drawing, you will be automatically entered in the next Drawing. If you are eligible for entry into a Drawing based upon your holding of $EVERY Tokens, you must connect your wallet to the Discord Server during each Drawing period.

‍

7. Selecting a winner

‍

Each Drawing shall be randomized and shall produce one potential winner (the “Winner”). If for any reason, the Winner is ineligible to receive the Payout, that Drawing shall be forfeited and the Payout shall be added to the pool for the next Drawing. Everyworld or its agents reserve the right to declare any winner ineligible for the reasons set forth in Sections 2 and 8.

8. How to get prize payout: Know your customer

‍

Winners of Drawings will be required to adhere to the applicable Terms and Conditions, including Eligibility. Everyworld reserves the right, in its sole discretion, to condition the awarding/distribution of $EVERY upon the passing of its Know Your Customer (“KYC”) process. An user must set up and connect a wallet and pass the platform’s KYC” process. Depending on the facts of a given situation, the verification process may involve the potential winner executing documents and/or providing proof which corroborates his/her/their compliance with the Terms and Conditions and these Official Game Rules.

If a potential winner refuses to cooperate with Everyworld’s KYC process (or if a potential winner does cooperate, but Everyworld determines in its sole discretion that the potential winner has not fully complied with the Terms and Conditions or these Official Game Rules (e.g., proof furnished by potential winner is determined by Everyworld in its sole discretion to be inadequate, incomplete or otherwise unacceptable), such individual's winner status shall be voided, no prizes will be awarded/distributed to such individual in conjunction with the verification process and Everyworld shall have no liability to such individual as to same under any legal theory (with Everyworld further reserving the right to compel such individual to disgorge any prizes previously awarded/distributed to him/her/them if also determined by Everyworld in its sole discretion to have been received in contravention of the Terms & Conditions and/or these Official Game Rules), such individual's account will be canceled and he/she/they will be prohibited from future use of the Website. In addition, Everyworld reserves the right to pursue any and all available legal remedies against such individuals so as to protect its rights.

The pool of $EVERY that is allocated to each Drawing will initially be paid out as follows:  (a) 45% to the Winner, (b) 45% to be donated to environmental conservation organizations, (c) 10% to be burned.

‍

THE ABOVE-INDICATED RESTRICTIONS ON REDEMPTIONS ARE SUBJECT TO CHANGE. AT THE TIME OF ANY AND ALL CHANGES, EVERYWORLD WILL UPDATE THESE OFFICIAL SWEEPSTAKES RULES ACCORDINGLY. IT IS THE user'S SOLE RESPONSIBILITY TO REVIEW THESE OFFICIAL SWEEPSTAKES RULES PERIODICALLY.

Everyworld is committed to paying out redemption requests in a timely manner.  Payouts are paid in $EVERY tokens. Subject to specific minimum redemption or exchange amounts, an user may redeem $EVERY once $EVERY has been reflected in the user’s Points account.  Winners will receive $EVERY tokens based upon a 3 year unlocking period whereby 1/36th of the Payout of $EVERY tokens will be unlocked on a monthly basis with the first payment made within thirty (30) days of passing the platform’s KYC process.

Please note that EVERYWORLD MAKES NO REPRESENTATION, GUARANTEE OR WARRANTY OF ANY KIND REGARDING APPLICABLE TAXES OR TAX-DEDUCTIBILITY. Everyworld strongly advises that Participants consult with their accountant or other tax professional.

All unspecified expenses in conjunction with prize claim (e.g., bank fees, etc.), prize acceptance and use are the Winner's sole responsibility. Prizes are not transferable.

9. Release of liability

‍

You indemnify, release and agree to hold harmless Everyworld from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property  arising out of or relating to your use of the Website and Discord Server (including any promotional games) and acceptance, possession, receipt or use/misuse of prize monies (as applicable).

10. Use of name and images publicly

‍

Except where prohibited by law, acceptance of a prize constitutes the winner's agreement and consent for Everyworld and its designees to use their first name, first initial of their last name, city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by Winner regarding Everyworld or the Website (including the Sweepstakes), worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising or promotion on behalf of Everyworld and its designees in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, or the Internet, without further compensation or any limitation, restriction, notice, review, or approval. The preceding includes but is not limited to media interviews to be conducted by Everyworld or its designees upon reasonable request. Nothing herein in any way obligates Everyworld or its designees to use such publicity rights and, by refraining from doing so for any reason.

11. Additional limitations or liability

‍

Everyworld is not responsible for: (a) communications (whether sent to or sent by an individual) or participation in the Sweepstakes, which are late, lost, garbled, incomplete, inaccessible/blocked, corrupted, jumbled, misdirected, delayed or damaged, regardless of cause, all of which are void; (b) incomplete, incorrect or inaccurate information whether caused by website users, tampering, hacking or by any of the equipment or programming associated with or utilized on the website including the game offered thereon, regardless of cause; (c) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of any function or feature of the website or communications (whether sent to or sent by an individual); (d) any problems or technical malfunctions of any telephone network or lines, computer on-line-systems, servers or providers, computer equipment, software, programming or failure of communications (whether sent to or sent by an individual) on account of technical problems or traffic congestion on the Internet or at any website (including but not limited to the website) or any combination thereof; or (e) any injury or damage to entrant's or to any person's computer or mobile device (or any information/materials stored therein) related to or resulting from downloading materials from the website or using the website including participating in the Drawing offered thereon.

In the event of any inconsistency between these Official Game Rules and the content of any materials advertising the Website, these Official Game Rules shall prevail, govern and control in all respects. The failure of Everyworld to enforce any provision of these Official Game Rules in a given instance shall not constitute the ongoing waiver of such provision.

12. Hacking or tampering with the services

‍

CAUTION: YOU AGREE THAT ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE THE WEBSITE, UNDERMINE THE LEGITIMATE OPERATION OF THE WEBSITE, USE A PROGRAM OR “BOT” TO ENTER THE OFFICIAL GAME RULES OR OTHERWISE ATTEMPT TO DEFRAUD EVERYWORLD IN CONJUNCTION WITH THE WEBSITE WILL RESULT IN IMMEDIATE CANCELLATION OF USER’S ACCOUNT, PROHIBITION FROM FUTURE USE OF THE WEBSITE AND, IN SUCH INSTANCE, EVERYWORLD RESERVES THE RIGHT TO PURSUE ALL AVAILABLE LEGAL REMEDIES AGAINST SUCH PERSON.

13. Governing Law

‍

As fully set forth in the Terms & Conditions, participants understand and agree that:

Any claims or disputes regarding these Official Game Rules will be resolved pursuant to the internal, substantive law of the State of New York, without regard to choice of law/conflict of law principles which would result in the application of the law of any jurisdiction other than that of the State of New York.

‍

14. Force majeure

‍

If, for any reason, a Drawing is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical failures, fire, flood, storm or other natural cataclysm, epidemic/pandemic, riot, strike, civil commotion, governmental regulation or any other causes beyond the control of Everyworld which, in its sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of such promotional game, Everyworld reserves the right at its sole discretion to cancel, terminate, modify or suspend such affected prize(s) available for same in a manner which is fair and equitable, as determined by Everyworld in its sole discretion. Without in any way limiting the foregoing, should a sweepstakes be canceled outright, the liability of Everyworld shall be limited to including such participants in the next sweepstakes (for users who participate via a purchase or without a purchase). Notice of any such action by Everyworld will be posted on the Website.
